• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the accuracy of your account information
• Comply with all applicable laws and regulations

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

• Violate these Terms
• Provide false or misleading information
• Engage in fraudulent or illegal activities
• Behave in a manner detrimental to YPNG or its members

YPNG offers various membership types with different benefits, fees, and terms. Current membership offerings and pricing are available on our website.

• Membership fees are charged on a monthly or annual basis as selected during registration
• All payments are processed securely through Stripe, our third-party payment processor
• Fees are non-refundable except as required by law or as specified in our refund policy
• We reserve the right to modify membership fees with 30 days' advance notice to active members

• Memberships automatically renew at the end of each billing period unless canceled
• You may cancel your membership at any time through your account settings or by contacting us
• Cancellations take effect at the end of the current billing period
• No refunds are provided for partial billing periods

• Partners may sponsor memberships for their employees or associates
• Partner member accounts are subject to both these Terms and the partner agreement
• Partner-sponsored memberships may be terminated if the partnership ends

• Access member benefits and resources
• Register for and attend events
• Connect with other members through our directory
• Participate in community discussions and programs
• Access job board and career resources

• Use the Services for any unlawful purpose
• Harass, abuse, or harm other members or staff
• Post or transmit spam, advertising, or promotional materials without authorization
• Impersonate any person or entity
• Collect or store personal information about other members without consent
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any portion of the Services
• Use automated systems (bots, scrapers) to access the Services without permission

• You retain ownership of content you create
• You grant YPNG a non-exclusive license to use, display, and distribute your content in connection with the Services
• You represent that you have all necessary rights to the content you post
• You will not post content that is illegal, defamatory, obscene, or infringes on others' rights
• YPNG reserves the right to remove any content that violates these Terms

• Event registration is required for most YPNG events
• Event fees (if applicable) are separate from membership fees
• Registration confirmations and event updates will be sent via email and/or SMS (if opted in)

• Conduct yourself professionally and respectfully
• Follow all venue rules and policies
• Not engage in discriminatory, harassing, or disruptive behavior
• Respect the intellectual property rights of speakers and presenters

• YPNG may photograph or record events for promotional purposes
• By attending events, you consent to being photographed or recorded
• If you do not wish to be photographed, please notify event staff

• Event cancellation and refund policies are specified at the time of registration
• YPNG reserves the right to cancel or reschedule events due to circumstances beyond our control
• In case of cancellation by YPNG, registered attendees will receive a full refund or event credit

• Transactional emails (account confirmations, password resets, receipts)
• Membership-related communications
• Event notifications and updates
• Newsletter (if opted in)

• Text, graphics, logos, and images
• Software, code, and databases
• Trademarks and service marks

...are owned by YPNG or our licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms.

• Copy, modify, or create derivative works of our content
• Reverse engineer or attempt to extract source code
• Remove or alter any copyright, trademark, or proprietary notices
• Use our trademarks or branding without written permission

We use Stripe for payment processing. Your payment information is subject to Stripe's Privacy Policy and Terms of Service.

• The content or practices of third-party sites
• Any transactions you conduct with third parties
• The privacy practices of external services

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

• Specific networking or professional outcomes
• Employment opportunities through our job board
• Availability of specific events or programs
• Uninterrupted or error-free access to Services

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR USE
• DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES
• DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO YPNG IN THE 12 MONTHS PRECEDING THE CLAIM.

• Disputes or interactions between members
• Content posted by members
• Conduct of members at non-YPNG events
• Business transactions between members

• Immediately upon posting for non-material changes
• 30 days after notice for material changes affecting membership fees or core services

• Email to your registered address
• Prominent notice on our website
• In-app notification (if applicable)

Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

Before filing any formal dispute, you agree to contact us at info@ypng.org to attempt to resolve the issue informally.

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in San Luis Obispo County, California.

You agree that disputes will be resolved on an individual basis and waive any right to bring class action claims against YPNG.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and YPNG regarding the Services.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.

YPNG is not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, or telecommunications failures.
